TERMS AND CONDITIONS
§ 1 Scope
The following terms and conditions of sale shall apply to all Contracts for the supply of goods entered into by means of distance selling (mail order) between the Customer and Fauth GmbH + Co. KG. They shall also apply to all future business relations, even if not expressly agreed on again. Deviating terms and conditions by the Customer not expressly accepted by us are not binding for us, even if we do not expressly object to them. The following Terms and Conditions shall also apply if we carry out the order without any reservations in the knowledge of contrary or differing terms and conditions of the Customer. In the Contracts all agreements made between us and the Customer with regard to the execution of the Contracts are specified in writing.
§ 2 Object of the contract / conclusion of the contract
(1) Contract in the sense of these Terms and Conditions is the Contract concluded between the Customer and the Fauth GmbH + Co. KG
§ 1 Scope
The following terms and conditions of sale shall apply to all Contracts for the supply of goods entered into by means of distance selling (mail order) between the Customer and the Fauth GmbH + Co. KG. They concerning the delivery of the goods presented in the online shop of Fauth GmbH + Co. KG.
(2) The Contract takes effect by the Customer's placement of the order and the Fauth GmbH + Co. KG' acceptance of the order. All goods offered by the Fauth GmbH + Co. KG
§ 1 Scope
The following terms and conditions of sale shall apply to all Contracts for the supply of goods entered into by means of distance selling (mail order) between the Customer and the Fauth GmbH + Co. KG. They in their online shop via www.subolab.de shall be an invitation to make an offer; i.e. in case a product is not available it does not have to be delivered. The Customer makes an offer by placing an order which shall only be accepted by means of SuboLab GmbH Fine and Industrial Chemicals' delivering the goods but not by means of a confirmation of the order of the goods.
§ 3 Order / offer
(1) An order can be placed in writing, by means of sending a completed order form by telefax or e-mail or by telephone.
(2) For ordering via electronic commerce or by post, telefax, or e-mail, it is required that the order form is filled completely and correctly. The printable order form must be signed; for orders placed online the completed order form must be confirmed. For this purpose, appropriate, effective technical means which are easy accessible are available, with the help of which input errors can be detected and corrected. On completing the online order form the data indicated by the Customer are shown for final approval. On the Customer's confirmation after completing the order form a binding order at the price set out in the form and the payment conditions set out in these Terms and Conditions § 6(3) will be placed.
(3) If an order is placed by telephone, the Customer has to respond completely and correctly to the questions of the Fauth GmbH + Co. KG § 1 Scope The following terms and conditions of sale shall apply to all Contracts for the supply of goods entered into by means of distance selling (mail order) between the Customer and the Fauth GmbH + Co. KG. They ' staff concerning this order to the extent as these are also indicated in the written order form.
§ 4 Acceptance
(1) If the Customer chooses to order electronically, receipt of the order is confirmed via the e-mail address indicated by the Customer. The confirmation contains all relevant data concerning the order and a notification in text format about the legally required information; this is not yet an acceptance of the offer made by the Customer's order.
(2) The Fauth GmbH + Co. KG is free to accept the order. The acceptance is always subject to the correct and timely self-delivery by the suppliers. This does only apply, however, in the case that the non-supply is beyond control of the Fauth GmbH + Co. KG

§ 5 Shipping conditions
(1) The goods are to shipped within three business days upon receipt of the order, as far as the article is available at that time. If the Customer selects the payment method advance payment (§ 6(3)), the goods are shipped within three business days upon receipt of payment, except for the case that a different arrangement has been made with the Customer. If it is apparent that the goods cannot be shipped within three business days, the Fauth GmbH + Co. KG will notify the Customer accordingly. Otherwise, the Fauth GmbH + Co. KG

They will effect shipment of the ordered goods as quickly as possible - usually within one to three business days (if advance payment was selected only upon receipt of payment, however) -, but within a period of two weeks after receipt of order / payment at the latest.
(2) The SuboLab Gmbh Fine and Industrial Chemicals is entitled to make partial deliveries; in this case, packaging and shipping costs are only charged once.
(3) If the order is not picked up within the storage period and is returned to the Fauth GmbH + Co. KG

KG. They after unsucessful delivery, the postage and packaging charges are charged again for a repeated delivery.
(4) If a product is not available due to force majeure or because the product is discontinued and the Fauth GmbH + Co. KG

§ 6 Terms of payment

(2) For online orders the price will be determined automatically considering the indications made by the Customer and is to be taken from the order form or the confirmation of receipt of order. If the order is placed by telephone, the Customer will be informed about the final price by telephone. If the Customer orders via order form, it is possible to determine the prices consulting the offer in our online shop under www.subolab.de. The Customer will receive an invoice, from which the final price can be taken, if he selects the payment method advance payment (§ 6(3)) when ordering by telephone or in writing.
(3) Concerning orders of net € 150.00 or more the Fauth GmbH + Co. KG

The following terms and conditions of sale shall apply to all Contracts for the supply of goods entered into by means of distance selling (mail order) between the Customer and the Fauth GmbH + Co. KG. They ships goods free of charge within the Federal Republic of Germany. For orders of less than net € 150.00 shipping costs are net € 9.90. For deliveries outside Germany the shipping costs and any other costs are to be agreed on individually. The Fauth GmbH + Co. KG

§ 1 Scope

KG. They . If the Customer selects advance payment, he will receive the required data, in particular the shop order number immediately after placing the order. If the order is placed online, the shop order number will be contained in the confirmation e-mail. If the order is placed by telephone or by telefax, the Customer receives an invoice containing an invoice number.
(5) The amounts due (advance payment excluded) are payable on receipt of the goods. If no payment has been received within 7 days after receipt of the goods or if a debit entry fails, the Customer gets into default of payment. During the arrears the Customer shall pay interest for the payment owed in the amount of 5 % above the basic interest rate, the entrepreneur shall pay interest for the payment owed in the amount of 8 % above the basic interest rate.
(6) The Customer is only entitled to set off any counterclaims if the counterclaims have been ascertained by court or have not been contested. The Customer is only entitled to enforce a right of retention if his counterclaim is based on the same contractual relationship.
§ 7 Price
All prices indicated are inclusive of the respective VAT and exclusive of any shipping costs. All prices indicated shall only apply within Germany and only at the time when the order is received. On updating the website of the Fauth GmbH + Co. KG

§ 8 Reservation of ownership

KG. They shall be owner of the goods until the company has received full payment of the purchasing price.
§ 9 Charging clause
If the Customer exercises his right of withdrawal in accordance with § 10, he shall bear the costs for returning the goods if the delivered goods correspond to the ordered goods and if the price of the goods to be returned is € 40.00 or less, or, in case the price of the goods to be returned exceeds € 40.00, if the Customer has not yet provided a consideration or made a partial payment as agreed by Contract at the time of the withdrawal. Otherwise, returning the goods is free of charge for the Customer.
§ 10 Right of withdrawal of the Customer
If the Customer is consumer as defined by Section 13 BGB (German Civil Code), he has a right of withdrawal as far as the goods concerned are not manufactured according to customer's specifications or are clearly tailored to personal requirements or if the goods concerned are not suitable for return shipment due to the nature of the product or the goods concerned may spoil quickly or their expiry date would have been passed.
